In 2005, following a “going private” transaction involving a reverse stock split that reduced its shareholders of record below 300 the company deregistered its securities under the Securities Exchange Act of 1934 and is therefore no longer required to report under the SEC regulations.  The company issues an abbreviated annual report and maintains appropriate governance and annual audits by public accounting firms.
